These Terms govern your use of our website and any services provided by DONGGUAN ESPINOZA TRADING CO. LTD. (“Espinoza Trading”, “we”, “us”). By accessing the site or requesting services, you agree to these Terms.

1) Scope of services

We provide sourcing and trade support services, which may include supplier discovery and communications, quotation support, order monitoring, quality check coordination, consolidation coordination, and logistics coordination with third parties (carriers, warehouses, inspectors).

Unless expressly agreed in writing, we are not acting as a freight forwarder, customs broker, insurer, or legal advisor. We coordinate with third parties at your request and based on available information.

2) Quotes, pricing, and availability

  • Quotes are estimates and may change due to supplier pricing, FX, raw materials, capacity, and logistics conditions.
  • Lead times are estimates; delays can occur due to production, holidays, inspections, customs, weather, or force majeure.
  • Unless stated otherwise, quotes are valid for a limited period and subject to reconfirmation.

3) Client responsibilities

You agree to:

  • Provide accurate specifications, quantities, destination details, and documentation needs.
  • Ensure the legality of your goods and compliance with import/export controls, sanctions, labeling, safety, and regulatory requirements.
  • Review and approve samples, specs, artwork, and final confirmations before production/shipment.
  • Pay all agreed amounts on time and follow payment instructions to avoid delays.

4) Supplier introductions & non-circumvention

Where we introduce suppliers or provide supplier intelligence, you agree not to circumvent Espinoza Trading for the purpose of avoiding our fees. For a period of 24 months after introduction, you will not directly or indirectly transact with introduced suppliers without our written consent, unless otherwise agreed in writing.

This clause is intended to protect the time and cost we invest in sourcing and supplier verification.

5) Payments

  • Service fees, deposits, and milestones (if any) will be stated in writing (invoice, quotation, or agreement).
  • Late payments may delay work and shipments. We may pause services until accounts are current.
  • You are responsible for bank fees, intermediary fees, and currency conversion costs unless agreed otherwise.

6) Warranties & disclaimers

Website content is provided “as is”. We do not guarantee that the website will be uninterrupted or error-free. Supplier information and third-party performance are outside our direct control.

Except as expressly agreed in writing, we disclaim all warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

7) Limitation of liability

To the maximum extent permitted by law, Espinoza Trading will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of business, delays, or lost opportunities.

Our total liability for any claim related to the services or website will not exceed the fees paid to Espinoza Trading for the specific service giving rise to the claim during the 90 days prior to the event, or USD $1,000 (whichever is lower), unless otherwise required by law.

8) Indemnity

You agree to indemnify and hold harmless Espinoza Trading from claims, liabilities, damages, and expenses (including legal fees) arising out of your products, instructions, misuse, regulatory non-compliance, or breach of these Terms.

9) Intellectual property

All website content, trademarks, and materials remain our property or the property of licensors. You may not copy, redistribute, or create derivative works without permission.

10) Force majeure

We are not responsible for delays or failures caused by events beyond reasonable control, including supplier shutdowns, port congestion, customs actions, pandemics, war, strikes, and natural disasters.

11) Governing law & disputes

Unless otherwise agreed in writing, these Terms are governed by the laws of the People’s Republic of China. Disputes will be submitted to the competent courts in Dongguan, Guangdong, or, at our option, to arbitration in Shenzhen (SCIA) in English.

If any local consumer protection laws apply to you and cannot be waived, they remain in force.

12) Changes

We may update these Terms. Continued use of the site or services after updates constitutes acceptance of the revised Terms.
